The contribution of securitisations to financing the digital and sustainable transition in Germany and Europe has been discussed intensively in recent months. The same applies to the extensive regulation with the EU Securitization Regulation in force since January 1, 2019 and its numerous technical regulatory standards and guidelines.
But how does a securitisation actually work from a legal perspective, and how is it implemented in the sales prospectus, contracts and legal opinions of a specific transaction? We would like to get to the bottom of these questions in the TSI training "Legal & Documentation in Securitisations".
Concrete transactions and their documentation will be analyzed with the following focus:

This TSI training with a very high practical relevance is aimed at all market participants who deal with the preparation, documentation review and analysis of securitization transactions in their operational business. The practical relevance arises for corporates and financial institutions as originators, arranging banks, rating agencies, investors and other service providers involved. Previous legal education of participants is not required.

Er verfügt über umfangreiche Erfahrung bei Anleihetransaktionen, darunter Pfandbriefe, gedeckte Schuldverschreibungen, strukturierte Anleihen, Hybrid- und Unternehmensanleihen sowie bei Anleiheumstrukturierungen. Darüber hinaus berät er umfassend zu den aufsichtsrechtlichen und insolvenzrechtlichen Aspekten von Kapitalmarkt- und strukturierten Finanztransaktionen.
Seine Mandanten sind in einer Vielzahl von Branchen tätig, insbesondere in den Bereichen Finanzdienstleistungen, Immobilien, Infrastruktur, Energie und alternative Anlagen. Neben seiner transaktionsbezogenen Tätigkeit ist Stefan Henkelmann Dozent für Kapitalmarktrecht am Institut for Law and Finance der Goethe-Universität Frankfurt am Main. Er veröffentlicht zudem regelmäßig Beiträge zum Kapitalmarktrecht und zu Entwicklungen in Schwellenländern und hält regelmäßig Vorträge auf Fachkonferenzen sowie Schulungen für Mandanten und Marktteilnehmer.
Daneben liegt ein wesentlicher Schwerpunkt auch in der Beratung von Kreditgebern und Gläubigern in Workout-Situationen sowie bei der Restrukturierung von notleidenden Transaktionen. Seine Dissertation befasst sich mit einer rechtsvergleichenden Analyse der rechtlichen Rahmenbedingungen der Forderungsverbriefung in den USA und in Deutschland.
Sie zählt zu den „führenden Namen“ im JUVE Handbuch 2024/2025 und wird bei Chambers Germany 2025 und Legal 500 Germany 2025 als eine der führenden Anwältinnen im Bereich Strukturierte Finanzierungen gelistet. Darüber hinaus wird sie von IFLR1000 Deutschland 2024 als „Highly Regarded“ in den Bereichen Debt, Structured Finance and Securitisation, Derivatives und Asset Finance anerkannt und ebenfalls im IFLR1000 Women Leaders Ranking 2024 gelistet.
